Mr. Nelson is a Shareholder and Director of the firm is a member of the firm's Financial Services Group. Mr. Nelson’s practice is a corporate and commercial practice, and it includes secured and unsecured commercial lending transactions, asset-based lending transitions, construction lending transactions, mergers and acquisitions, work-outs, restructurings, deed-in-lieu transactions, and bankruptcy.

Mr. Nelson’s bankruptcy practice includes representation of purchasers of assets, secured and unsecured creditors, defendants in avoidance actions (preferences, fraudulent conveyance), and equipment and real property lessors. Mr. Nelson is counsel for the legal representative of future silica personal injury claimants in one of the handful of reorganizations to provide for silica personal injuries. Previously he served among the lead counsel in the reorganization of Wheeling-Pittsburgh Steel Corporation (I) and in the reorganization of Allegheny International, Inc.

Selected Engagements

  • As a lead counsel in the first reorganization of Wheeling-Pittsburgh Steel Corporation, was responsible for re-negotiation of executory contracts, effecting multi-million dollars in supply chain savings.
  • As a lead counsel in the reorganization of Allegheny International, Inc. and its subsidiaries, was responsible for the critical transition of nationally-branded subsidiaries to debtor-in-possession operations.
  • Counsel to court-appointed legal representative of future personal injury claimants against A.P. Green, Inc., in connection with the pending establishment of a $31 Million personal injury trust for victims of exposure to silica.
  • Represented health system in acquisition of a tertiary hospital, three community hospitals, and related business assets from the bankruptcy estate of Allegheny Health, Education, and Research Foundation, and in the subsequent restructuring and refinancing of the acquired assets, resulting in the formation of a multi-billion dollar integrated health care system.
  • Represented super-regional bank in numerous multi-million dollar real estate workouts throughout the United States, including time-share development and associated ski resort, hotels, apartment, office, and shopping centers, resulting in substantial recoveries, asset preservation, and no lenders liability exposure.
  • Represented super-regional bank in making asset-based loans, cash collateral arrangements, and debtor-in-possession financings.
  • On behalf of an asset-based lender, proposed and had confirmed, a Chapter 11 reorganization plan for the operation and going-concern sale of a public company, resulting in a full recovery for the lender.
